摘要：农村商业银行是由原来的农村信用合作社改制而成的，是对我国经济发达地区农村信用合作社改革的一种探索。对于农村商业银行这一我国金融格局中的新生事物，本文侧重于从当前国内外银行业讨论的焦点问题——治理结构问题展开分析，因为商业银行治理结构的完善与否是影响其经营业绩从而决定商业银行外在竞争力和生命力的根本，因此对于农村商业银行治理结构的研究是十分有必要的。本文通过分析，发现农村商业银行现有的治理结构中存在委托代理缺乏效力，造成治理约束软化、股权结构不合理、激励约束机制不到位、缺乏有效治理的外部支持环境等问题，并从农村商业银行外部治理环境的完善和农村商业银行内部治理结构的优化两个方面提出了改进的意见与建议。

Abstract: Rural commercial bank is from originally of rural credit cooperatives reform and become, is developed economic regions of our country rural credit cooperatives reform a kind of exploration. For rural commercial bank that our financial structure to those newborn things, this paper focuses on the current domestic and foreign Banks from the focus of debate problem - governance issues on analysis, for commercial Banks governing structure perfect or not is affecting its operating performance of commercial Banks to determine the fundamental external competitiveness and vitality, so for rural commercial bank governance structure of study is very necessary. Through analysis, found rural commercial bank of existing governance structure existing in principal-agent lack effectiveness, causing governance constraint softening, unreasonable structure of shares, the incentive-restricted mechanism does not reach the designated position, lack of effective management of external support environmental problems, and from rural commercial bank of external management environment improvement and rural commercial Banks internal governance structure optimization of the two aspects of opinions and puts forward some improvement suggestions.
