Abstract:The risk transfer of the goods has always been a very important issue in a sales contract especially an international sales contract. Although the theory of risk transfer of goods is of great significance, risk transfer remains a vague concept for international trade practitioners especially when there are conflicts among international conventions, international practices and domestic laws, so it is crucial to study risk transfer of goods theoretically. In the course of international trade, risk transfer of goods has a connection with the interests of both parties, which plays a key role in the duty assumption for the damage of goods for the two parties. Concerning this issue laws of different countries as well as different international conventions have different regulations, where the application of law tends to be more complicated than that inside a country, which undoubtedly will increase the complexity and risk of international trade. In the process of international sales of goods, the key to risk transfer is time and decisive factor is the appropriation of goods. Therefore, it is practically meaningful to specify the time of risk transfer of goods. The article tries to explore related factors that influence risk transfer from the point of view of Incoterms 2010, while making a comparison with Incoterms 2000.

摘要：货物的风险转移问题，一直都是买卖合同尤其是国际货物买卖合同中一个非常重要的问题。虽然货物风险转移的理论意义重大，但是我国的国际贸易从业人员对于风险的转移问题依然存在模糊概念，尤其是在国际公约、国际惯例和国内法三者相冲突的情况下更是无所适从，所以在理论上研究货物的风险转移具有显著的意义。在国际货物买卖中，风险转移直接关系着双方当事人的切身利益，它是买卖双方当事人承担货损责任的关键。各国法律和国际条约在这一问题上作了不同的规定，法律适用也比国内法更为复杂，这无疑增加了国际贸易复杂性和风险性。在国际货物买卖中，风险转移的关键是时间，其决定因素是货物的特定化。因此明确货物风险转移的具体时间有着重要的实际意义。本文试从《2010年国际贸易术语解释通则》的角度对影响风险转移的相关因素进行研究，并与《2000年国际贸易术语解释通则》作了比较分析。
