我国对外直接投资发展研究---以海外并购为视角.doc

摘要: 近年来，我国企业海外并购活动高涨，尤其是在全球金融危机爆发后，我国企业更是得到一个海外并购的机遇，我国企业海外并购掀起来了一个新的高潮，不仅在数量上有显著的增多，在金额和规模上也有显著的提高。从而，越来越多的我国企业通过海外并购走向了国际市场。然而，由于中国企业的海外并购还处于起步阶段，在并购过程中还存在一些问题，导致企业的并购活动失败。本文通过对我国企业海外并购活动的现状特征、存在的问题已经相应的原因进行研究分析，针对存在的问题，提出相应的研究对策。

ABSTRACT：In recent years, our country enterprise overseas acquisition activity, especially in high after the outbreak of the global financial crisis, the enterprises in China but also get a foreign acquisitions opportunities, our country enterprise overseas acquisitions set off a new climax, not only in the number increased significantly in amount, on a scale and also improved significantly. Consequently, more and more Chinese enterprises through acquisitions overseas to the international market. However, since China's enterprise acquisitions overseas is still in the initial stage, the process of the merger still has some problems, and lead to enterprise mergers-and-acquisitions activity failure. This article through to our country enterprise overseas acquisitions activity the status quo, characteristics, the existing problems have corresponding reasons of research and analysis, based on the existing problems, and puts forward some corresponding countermeasures of research.

　　　目前我国企业海外并购活动仍然存在着问题，部分企业盲目跟风，凭借一时兴起仓促决定海外并购，还存在企业确定目标企业后，对于目标企业的调查不详尽，结果都是海外并购活动半途失利。然而，目前我国企业海外并购存在的最大问题是并购后对于目标企业的经营管理不善，在整合方面，尤其是文化整合，缺乏经验，最终虽然海外并购活动完成，却无法达到预期的效果，海外并购仍然失败。同时，我国政府的法律法规的零散和不完善，以及企业对于国外有关海外并购的法律法规的不熟悉，都使的海外并购活动处处受限，稍有不慎，都会导致海外并购失败。

　　　本文就我国企业海外并购中遇到的问题提出相应的研究对策，以供参考。企业在决定是否进行海外并购是应该慎之又慎，就企业的自我需求和企业的能力来决定。一旦确定要进行海外并购，须选择合适的目标企业并对其的资产负债等情况进行详细的调查。在并购过程中，充分利用我国现有的法律法规来支持，同时了解目标企业所在地的法律法规，聘请当地的中介机构来辅助，以确保海外并购的顺利进行。并购完成活动完成后，企业的首要任务是对于目标企业的经营管理，尤其是整合的问题，这样才能保证并购顺利完成。
